Shantanu Srivastava

Shantanu Srivastava heads the corporate legal advisory team of the Firm. He joined the firm in the year 2014 and started the corporate practice of the Firm. His primary areas of practice include advice and documentation in relation to General Corporate and Commercial Transactions, Foreign Investments, Media Laws, Real Estate, Anti-trust/ Competition Laws, Private Equity, Regulatory Compliances and Telecommunications Laws.

His experience of working in a full-service law firm like Wadia Ghandy & Co. enables him in working on a wide variety of matters and laws. His understanding of the complex commercial transactions and the commercial/ business needs of the corporate clients helps the firm in rendering the most suitable customized business and legal solutions to the clients.

Agreement Drafting and General Corporate Advisory

• Drafted and negotiated hotel operating and management agreements for a five star hotel.
• Reviewed and negotiated documentation in relation to Cloud Services and SAP Implementation provided by IBM for a client in infrastructure industry.
• Drafted and negotiated sale deeds, documentation for builders and joint venture agreements for real estate projects.
• Advised clients in the mining sector on tender documents requirements and prepared required joint venture agreements/ documentation.
• Reviewed and negotiated sub-contracting agreements for road infrastructure projects.
• Drafted, negotiated and reviewed various software licensing agreements for companies engaged in the business of online jobs search portal and telecommunications.
• Reviewed and negotiated various master service agreements pertaining to software and technology development for companies in the FMCG sector.
• Drafted various professional services agreement and purchase orders for companies engaged in the manufacturing sector;
• Drafted and negotiated advertising services agreement for a non-governmental organization and advised on various issues pertaining to Indian Contract Act, 1872.
• Drafted partnership deeds for clients in the real estate sector and advised them on the local laws of various States in India.
• Prepared memorandums, issued opinions and advised clients on various issues pertaining to the Contract Act, 1872, Companies Act, 1956, Banking Regulations Act, 1949 and Indian Stamp Act, 1899, Factories Act, 1948 and Securitization and Reconstruction of Financial Assets and Enforcement of Security Interest Act, 2002.
• Advised client on the guidelines and regulations of the Securities and Exchange Board of India (SEBI) and other such regulatory authorities.

Commercial Transactions

Drafted and negotiated definitive documents such as the share purchase agreements, share subscription and shareholders’ agreements along with the ancillary documents for companies engaged in different lines of business like generation of coal power energy, thermal power energy,  providing terminal/ warehouse services at various ports in India etc.;

Legal Due Diligences

Perused all documents, agreements and statutory compliances of companies in relation to Real Estate, Contracts, Intellectual Property, Corporate and Loans and Borrowings etc. of various companies and prepared issue based due diligence reports to advice clients on the legal risks involved in the proposed transactions. The businesses of such companies were in the following sectors:

• Infrastructure – engaged in the business of construction of roads and highways;
• Industrial manufacturing – Metal recycling and production of alloys;
• Manufacturing – Industrial packaging solutions, lifestyle products, healthcare products etc;
• Manufacturing and distribution of textile products;
• Manufacturing and distribution of packaged and frozen foods;
• Real Estate;
• Renewable energy generation;

Real Estate

• Drafted and negotiated MoUs and sale deeds for various clients engaged in the business of construction of residential apartments. Also, assisted in the process of registration of such sale deeds; Drafted and negotiated a joint venture agreement between a real estate consulting company and a company engaged in the business of construction private villas for investment and underwriting of such villas. Drafted and negotiated leave and license agreements and advised on the applicable stamp laws; Conducted due diligence for a title search of a real estate property situated in Delhi and prepared the title search report.
• Advised real estate clients on various aspects of the Real Estate (Regulation & Development) Act, 2016 and the rules made thereunder

Media Laws

• Worked for various prominent production houses like Dharma Productions, Sanjay Dutt Productions Private Limited and Amole Gupte Cinema Private Limited. Brief description of work undertaken is as follows:
• Advised in structuring and negotiating deals of various kinds like acquisition of film rights from an author of a book, acquisition of remake rights of a Hollywood film and co-production deals with other leading media production companies. Also drafted and negotiated agreements for the abovementioned deals.
• Drafted and negotiated various legal documents for companies engaged in the business of production and distribution of cinematographic films, including agreements like distribution agreements, assignment of music rights, satellite broadcasting agreements with television channels and various other legal documents / agreements in relation to the production, distribution and telecast of a film.

Competition Laws

Provided opinion to clients on legal issues pertaining to the Competition Act, 2002 and advised on restructuring of business models for compliance with the orders and guidelines of the Competition Commission of India. Also advised the clients on the notices received from the Competition Commission of India and prepared the written replies to such notices.

Intellectual Property Laws

Assisted clients in filing applications for trademark and copyright registrations. Advised clients and issued opinions on various aspects on Indian Patents Act, 1970.

Infrastructure law

The reality boom has witnessed various dynamic changes in this field since last few years. The Firm is empaneled with various developers and construction companies and undertakes corporate and litigation work for them.

Industrial disputes and Employment Laws

The Firm has experience of handling matters of management-labour disputes, Workmen Compensation Matters and other matters covered under the Industrial Disputes Act, 1947. The Firm is actively engaged in all tiers of such disputes and their adjudication.

Telecommunications

Advised clients on various guidelines and regulations of the Telecom Regulatory Authority of India (TRAI). Provided legal opinions to clients on various issues pertaining to telemarketing services as regulated by TRAI. Liaison with the officers of TRAI to obtain formal clarifications on various complicated issues under the guidelines and regulations of TRAI.

Start-ups

Advising start-ups operating in different sectors like IT and Education with structuring and legal compliances. Preparing legal documents and agreements for their business purposes.
